ACS Membership Referral Program Terms and Conditions

Effective Date: December 1, 2024

The American Chemical Öйú365betÖÐÎĹÙÍø (“ACSâ€�) offers ACS members (“Referrerâ€�, “youâ€�, or “yourâ€�) and new/first-time members with ACS, a past ACS member who is reinstating, a new/first-time Öйú365betÖÐÎĹÙÍø Affiliate, a past Öйú365betÖÐÎĹÙÍø Affiliate who is reinstating, or an ACS Community Associate (“Referred Personâ€�, “youâ€�, or “yourâ€�) the opportunity to participate in the ACS Membership Referral Program (the “Programâ€�). These Program Terms and Conditions (“Referral Termsâ€�) govern your participation in the Program. By participating in the Program, you agree to these Referral Terms, and confirm that you have read, understood, and consented to the Privacy Policy and Terms of Use, which are incorporated into and made a part of this agreement. If you do not agree to these Referral Terms in their entirety, then do not participate in the Program. The Program is void where prohibited by any applicable laws and regulations. These Referral Terms are effective as of the date listed above.

Referral Program Overview (Revised 4/18/2025)

The American Chemical Öйú365betÖÐÎĹÙÍø (“ACSâ€� or “weâ€� or “usâ€�) offers the ACS Membership Referral Program to ACS members and Öйú365betÖÐÎĹÙÍø Affiliates who are otherwise eligible and are interested in referring potential new members to ACS. ACS members and Öйú365betÖÐÎĹÙÍø Affiliates who refer are called “Referrersâ€� and individuals who receive a referral are called “Referred Persons.â€� Both the Referrers and Referred Persons must be a legal resident of the 50 United States, District of Columbia, Puerto Rico, Canada, Germany, Switzerland, Italy, Mexico, Nigeria, Australia, South Korea, the United Kingdom, or India, and at least 18 years old (or the age of majority in their respective jurisdiction) at the time of Program participation. These Referral Terms govern the participation by Referrers and the Referred Persons by the Referrers.Ìý

Referrer Eligibility

Referrers must:

• Be an existing and active member or Öйú365betÖÐÎĹÙÍø Affiliate of ACS;
• Be in good standing with ACS; and
• Be otherwise eligible to participate in the Program without any restrictions and at least 18 years old or the age of majority in their respective jurisdiction.

Referred Persons Eligibility

To receive a Referral Reward, the Referred Person must meet the following criteria:

• Be a natural person (i.e., no businesses, legal entities);
• Be a new/first-time member with ACS, a past ACS member who is reinstating, a new/first-time Öйú365betÖÐÎĹÙÍø Affiliate with ACS, a past Öйú365betÖÐÎĹÙÍø Affiliate who is reinstating, or an ACS Community Associate;
• Meet ACS’s membership application eligibility requirementsÌýand adhere to the Membership Terms & Conditions;
• Complete the membership application using the custom Referral Link or other methods supplied by ACS that allow for proper tracking of referrals and pay the necessary dues amount as indicated in the application;
• Consent and comply with any applicable policies and terms; and
• Be otherwise eligible to participate in the Program without any restrictions and at least 18 years old or the age of majority in their respective jurisdiction.

Program Enrollment

For Referrers

To participate in the Program as a Referrer, you must refer a Referred Person that meets the required eligibility criteria.

• While signed in to your ACS account, visit the “Member Referrals" section of the ACS website and opt-in to participate in the Program.
• Follow the instructions to receive a unique ACS member referral link that is specific to you and only you (your “Referral Linkâ€�).
• Share your Referral Link with your family, friends, and anyone else that would benefit from an ACS membership. To receive maximum benefits of your referrals, please review the below section on “Sharing Referral Links Transparently and Fairly.â€�
• For each eligible Referred Person that (1) utilizes your Referral Link, (2) registers for an ACS account, (3) completes an application for ACS membership, and (4) pays the applicable membership dues, you will receive a Referral Reward (see About Referral Rewards section below for details).
• You will know if you received a Referral Reward when it appears in the Membership Referral Program (“Reward Pointsâ€�) section of your ACS member user interface.Ìý

For Referred Persons

To participate in the Program as a Referred Person, you must meet the required eligibility criteria.

• Follow the Referral Link and opt-in to participation in the Program.
• Complete and submit a valid ACS membership application through the Referral Link, subject to membership requirements.
• Pay the required membership dues fee for the applicable membership type.

Representations

By participating in the Program, (i) as a Referrer, you represent and warrant that you have a personal or business relationship with your Referred Persons; (ii) as a Referrer that you have obtained the clear and affirmative consent of your Referred Persons to receiving marketing materials and other messages containing the Referral Link from you; and (iii) as a Referrer or Referred Persons, you will comply with all applicable ACS policies and terms, and any and all applicable laws, rules, or regulations governing your participation in the Program.

About Referral Rewards

Reward Structure

• Referrers and Referred Persons may receive rewards or incentives as specified by ACS, which could include discounts on membership dues, special recognition, or other benefits (collectively, “Referral Rewardsâ€�).
• Referrers shall earn a defined, predetermined amount of points for each eligible Referred Person. Such points shall be accumulated for a certain total point value that can be redeemed for discounts, special recognition or other benefits on ACS products or services.
• Referred Persons shall receive a discounted amount off their initial pricing of ACS membership dues.
• The specific Referral Rewards and their conditions will be detailed on ACS’s website and may be updated from time to time in ACS’s sole discretion.Ìý

Referral Rewards Conditions

• Referral Rewards allocations will be provided to: (i) the Referred Person when the Referred Person’s membership application, completed via the Referral Link and applicable membership dues payment with the discount, is accepted and processed by ACS, and (ii) the Referrer will receive between one (1) point and four hundred and eighty (480) points upon the completion of the Referred Person’s enrollment into an ACS membership. Referred Persons have the option to choose not to participate in the Program and may complete a membership application without a Referral Link at which time no attribution or Referral Rewards will be received.
• Referrers may only earn one (1) Referral Reward per Referred Person using the Referral Link. In the event a Referred Person refunds or cancels their ACS membership dues payment relating to the Program, the associated Referral Reward awarded to the Referrer may be rescinded. Any abuse of this offer, as determined by ACS in its sole discretion, may result in the rescission of the Referral Rewards and the inability to participate in this or future promotions.
• Referral Rewards cannot be applied to previous purchases, are not redeemable for cash or other substitutions, and are not transferable.
• The amount of Referral Rewards that you may receive and the period in which you may earn Referral Rewards are subject to limitation.
• Determination and payment of tax liability on any Referral Rewards, including income tax, if any, are the sole responsibility of the Referrer and the Referred Person, and are advised to seek tax advice from a qualified tax professional to ensure compliance with all applicable tax laws and regulations. ACS may be required to issue a 1099-MISC to US-based Referrers who have earned $600 or more in Referral Rewards or other applicable ACS programs and events, and US-based Referrers agree to provide their tax information upon request.Ìý

Sharing Referral Links Transparently and Fairly

In sharing your Referral Link, you must at all times remain compliant with all applicable laws and regulations. Please see the “Compliance with Law� section provided below. Referrals must be created and distributed in a personal manner that is appropriate and customary for communications with acquaintances. If sharing your Referral Link via social media, then (1) you must include the personalized Referral Link in your post, (2) you must state in your post that you are participating in this Program and are eligible to receive Referral Rewards, and (3) your post must be created and distributed in a personal manner that is appropriate and customary for communications with acquaintances.

Additional rules for sharing your Referral Link fairly and transparently are as follows:

• Do not publish or distribute Referral Link on websites or other locations where this activity is prohibited.
• Do not “spamâ€� anyone with the Referral Link. This includes mass emailing, texting, or messaging people you do not know or using automated systems, scripts or bots through any channel to distribute your Referral Code. You cannot pay anyone to advertise your Referral Link. You may not post the Referral Link on pages owned by others without express permission from those owners.
• If you use third party websites or services for the Program, in addition to these Referral Terms, you must comply with the website’s, or service provider’s own terms and conditions.
• If you use social media:
  • Use the Referral Link only on your own social media accounts and do not post the link in any public forum.
  • Do not purchase or run ads on any social media website using the Referral Link or any other ACS Property.
• Do not misrepresent ACS, any other third party, or your experience or relationship with either when sharing a Referral Link. This includes implying that an affiliation or partnership exists between you and such parties where it does not.

Program Limitations and Restrictions

The Program is void where prohibited by law or restricted in value as required by law or regulation.

The Program is not sponsored, endorsed, or administered by, or associated with any social media platform.

Referrers may not refer themselves, establish false, duplicative or “dummy� accounts (such as through using or generating additional email addresses or phone numbers), or register accounts on behalf of other people to earn Referral Rewards.

ACS has no obligation to monitor the Program or any communications or content provided by Referrers; however, ACS may choose to do so and block any email messages, remove any such content, or prohibit any use of the Program.

Every Referred Person is subject to independent verification by ACS and ACS’s representatives. You agree to provide us with information reasonably necessary to verify compliance with these Referral Terms. All decisions regarding Referral Rewards, Referred Persons, or your participation in the Program will be final and at ACS’s sole discretion.

Your participation in the Program is subject to your compliance with the Referral Terms, the ACS Terms of Use, any additional policies or requirements posted by ACS during or after the Program, and all applicable laws and regulations.

ACS employees, officers, directors, and its subsidiaries, affiliates or promotional agencies, as applicable, are not eligible to participate in the Program.

Compliance with Laws

Referrers and Referred Persons must comply with all applicable laws, ordinances, rules, regulations, orders, or other requirements of any governmental authority with jurisdiction over the Referrers, Referred Persons, and Program, including, but not limited to all federal, state, or other applicable laws governing: (a) marketing email, communications, and services such as CAN-SPAM Act of 2003 and other anti-spam laws, (b) data privacy and security and other data protection laws; and (c) anti-bribery and anti-corruption laws, such as the US Foreign Corrupt Practices Act (“FCPA�), and all other applicable anti-corruption and anti-bribery laws.

Referrers and Referred Persons agree to comply with all applicable export and re-export control laws and regulations, including without limitation the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control. If Referrers or Referred Persons are in a country outside of the United States, Referrers and Referred Persons agree to additionally comply with any local rules regarding online conduct and acceptable content, including without limitation laws regulating the export and re-export of data to and from the United States or such other country.

Privacy and Data Protection

Participation in the Program may require a Referrer or Referred Person to submit personal information about themselves. Personal information that is collected as part of the Program will be used to:

• Participation in the Program;
• Receive communications about the Program;
• Operate and maintain the Program, including providing Referral Rewards;
• Evaluate and improve the effectiveness of the Program;
• Provide tailored communications and marketing;
• Monitor compliance with the Referral Terms; and
• Comply with our legal obligations.
  
  

Personal information will be collected and processed through the Program will be used in accordance with theÌýACS Privacy Policy. Referrers and Referred Persons consent to the collection, use, and processing of their personal information as described in the ACSÌýPrivacy Policy. You may opt out at any time from receiving further communication regarding the Program by unsubscribing from our emails or by contacting member services.Ìý

Changes to the Program

At ACS’s sole discretion, ACS may change the Program or modify, add or delete all or any portion of these Referral Terms, benefits, Referral Rewards, at any time. If ACS makes any material changes to the Program (i.e., changes in the discount or point amounts, eligibility requirements, termination or suspension of the Program, etc.) or amends these Referral Terms, ACS will notify you and/or obtain your consent, if applicable, of those changes by posting them on this page, the ACS member user interface, and/or otherwise notify you as required by law. Continued participation in the Program after any modification will constitute consent to such modification.

Suspension or Termination of the Program

Should events beyond ACS’s control, such as strikes, acts of God, epidemic or pandemic, civil disturbance, war or changes in economic or business conditions, materially affect our ability to perform, the Program may be suspended or terminated, and your Referral Rewards may be forfeited without notice to you.

We may also suspend or terminate the Program for any reason or your ability to participate in the Program, at any time upon ninety (90) days� prior notice to you.

You may withdraw from the Program at any time, by sending us a notice at service@acs.org or by calling 1-800-333-9511 (US and Canada) | 614-447-3776 (outside North America). If you withdraw from the Program, the Referral Rewards (i.e., points for Referrers, and discounts on membership dues for Referred Persons) that you may be entitled to but that has not yet taken place, will be automatically forfeited. However, for Referrers, all Referral Reward points earned as of the date of such withdrawal, whether or not they have been credited to your ACS member account, will remain available to you, subject to the Referral Terms.

If the Program is terminated or the Referrer’s account is closed, any remaining earned Referral Rewards will be forfeited. ACS reserves the right to change, modify, or terminate the Program, or any or all benefits under the Program or any terms pertaining to the Program, at any time, for any reason, including ACS’s right to discontinue or change how Referral Rewards are received, calculated or redeemed.Ìý

Intellectual Property

ACS is the owner of all intellectual property related to the Referral Link, including and without limitation the services and related technology; designs, texts, graphics, images, video, information, logos, button icons, software, audio files, computer code, data and other content; and copyrights, patents, trade secrets, trade or service marks, brands, logos, and other intellectual property incorporated into each of the foregoing (collectively, the "ACS Property"). ACS grants you a limited, nonexclusive, revocable, and nontransferable license to use ACS Property as permitted by these Referral Terms and subject to ACS’s brand guidelines in each instance. This license is revocable at any time without notice and with or without cause. Unauthorized use of the ACS Property may violate copyright, trademark, and applicable communications regulations and statutes and is strictly prohibited. Referrer agrees that it will not engage, participate, or otherwise become involved in any activity or course of action that diminishes or tarnishes the image or reputation of ACS, the Program, or the ACS Property.

Updates to these Referral Terms

At ACS’s sole discretion, ACS has the right to modify, add or delete all or any portion of these Referral Terms, benefits, Referral Rewards, at any time, with or without notice. If we amend these Referral Terms, we will post the updated version on this page and/or otherwise notify you as required by law. Continued participation in the Program after any modification will constitute consent to such modification.

If the Program is terminated or the Referrer’s account is closed, any remaining earned Referral Rewards will be forfeited. ACS reserves the right to change, modify, or terminate the Program, or any or all benefits under the Program or any terms pertaining to the Program, at any time, for any reason, including ACS’s right to discontinue or change how Referral Rewards are received, calculated or redeemed.

Liability and Indemnification

• ACS is not liable for any damages, losses, or injuries resulting from participation in the Program or from the use of any Referral Rewards.
• ACS shall not be liable to you for failure to supply any Referral Reward, by reason of any acts of God, any action or request by a governmental or quasi-governmental entity (whether or not valid), or any other activity or action that is beyond any of ACS’s control.
• Referrers and Referred Persons agree to indemnify and hold harmless ACS, its subsidiaries and affiliates, and their respective officers, directors, employees, customers, members, and/or agents, from any claims arising out of their participation in the Program.
• Referrers and Referred Persons who do not comply with the law, including anti-spam laws, are obligated to indemnify ACS, against any liabilities, damages, costs and expenses, including reasonable attorney’s fees, it incurs as a result of such violations of law.

Disclaimer of Warranties

REFERRERS AND REFERRED PERSONS IN THE PROGRAM EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN “AS ISâ€� AND “AS AVAILABLEâ€� BASIS AND ACS EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) ACS MAKES AND GIVES NO PROMISE THAT (I) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (II) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS OBTAINED FROM USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE USE OF ANY SUCH MATERIAL. YOU UNDERSTAND AND AGREE THAT ACS, TO THE FULLEST EXTENT PERMITTED BY LAW, SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES.Ìý

Disputes

With respect to any dispute, claim, or controversy regarding the Program, all rights and obligations and all actions contemplated by these Referral Terms shall be governed by the laws of the District of Columbia, United States of America, as if the Referral Terms were a contract wholly entered into and wholly performed within the District of Columbia, United States of America. Any dispute you have with ACS should be submitted Ìýin writing to ÌýACS’s Legal Department within thirty (30) days of the event giving rise to the dispute. The Legal Department can be contacted via postal mail at American Chemical Öйú365betÖÐÎĹÙÍø, Attn: Legal Dept., 1155 16th Street, NW, Washington, DC 20036, and provide the nature of the dispute, the basis for your claims and the resolution you are seeking. Please allow sixty (60) days for ACS to address your complaint. These Referral Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded from applying. THESE REFERRAL TERMS AND CONDITIONS REQUIRE YOU TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. NO CLASS OR REPRESENTATIVE ACTIONS ARE ALLOWED. ACS shall have the sole and exclusive right to resolve all disputes in relation to this Program, and all decisions by ACS shall be final and binding. ACS reserves all its rights under the Terms of Use and all other applicable ACS policies.Ìý

Miscellaneous

These Referral Terms, in conjunction with the ACS Privacy Policy and Terms of Use , constitute the entire agreement and understanding between you and ACS with respect to the Program and supersedes all other communications, whether oral or written, between the parties with respect to such subject matter.

These Referral Terms shall be governed by and construed in accordance with laws of the United States and the District of Columbia, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not govern these Referral Terms. The Program, each referral, and any use of any Referral Links, access to and use of the ACS website and the entering of these Referral Terms will be deemed to take place in the United States.

In the even there is any inconsistency between the English version of these Referral Terms and any applicable translated text, the English text shall be binding.

Subject to the foregoing restriction, these Referral Terms will be binding on, inure to, and be enforceable against the parties and their respective successors and assigns.

ACS’s failure to enforce the strict performance of any provision of these Referral Terms will not constitute a waiver of ACS’s right to enforce such provision or any other provision of these Referral Terms.
